Overview

Codon Valuation gives Claude a practitioner valuation model for private company shares, so founders, finance teams and advisers can get an indicative range for their common (US) or ordinary (UK) share value before commissioning a formal report. Tools: - estimate_409a_value: an indicative fair market value range per common share of a US private company, as a planning estimate before a formal 409A valuation (for example, to anticipate an option strike price). - estimate_emi_share_value: an indicative market value range per ordinary share of a UK private company in pounds sterling, as a planning estimate before agreeing an EMI valuation with HMRC. - get_formal_valuation_info: the documents and typical steps for a formal 409A or EMI valuation. How it works: with a priced round in the last 12 months, an option pricing model is calibrated to that round (a backsolve). Otherwise the model rolls an older round forward, applies a sector revenue multiple, or uses an asset-based range. Value is allocated across share classes with a Black-Scholes option pricing model and a discount for lack of marketability is applied using the Finnerty and Chaffe models. Every result shows the low, mid and high value per share, the method, the allocation by share class and all assumptions. All tools are read-only. Inputs are numbers from the cap table and financials; no company or personal names are needed, and nothing is stored or logged. No account or sign-in is required. Results are indicative planning estimates. They are not a 409A valuation, do not provide safe harbor under IRC Section 409A, and are not a valuation agreed with HMRC. estimate_409a_value

ChatGPT
Gives an indicative range for the fair market value per share of a US private company's common stock, as a planning estimate before a formal 409A valuation (for example, to anticipate an option strike price). Uses an option pricing model backsolve when there is a priced round in the last 12 months; otherwise a rolled-forward round, a sector revenue multiple, or an asset-based approach, depending on the inputs. Applies Finnerty and Chaffe marketability discounts. Inputs are numbers from the cap table and financials; no company or personal names are needed. Limitations: treats all preferred as non-participating and pari passu with 1:1 conversion, and does not model SAFEs or convertible notes. The result is not a 409A valuation.

estimate_emi_share_value

ChatGPT
Gives an indicative range for the market value per ordinary share of a UK private company, as a planning estimate before agreeing an EMI valuation with HMRC (for example, to anticipate an EMI option exercise price). Uses the same methods as the 409A estimate, in pounds sterling: an option pricing model backsolve for a priced round in the last 12 months, otherwise a rolled-forward round, a sector revenue multiple, or an asset-based approach. Inputs are numbers from the shareholder register and accounts; no company or personal names are needed. Limitations: treats all preference shares as non-participating and pari passu, and does not model convertible instruments. The result is not an HMRC-agreed valuation.
